Susquehanna River United Soccer Association
Constitution and Bylaws
Article 1 Organization Section 1.
The name of this association is Susquehanna River United Soccer Association (known
hereafter as SRUSA).
Section 2.
Purposes and Powers
a. To dedicate the association to the
promotion of the sport of soccer at all levels of participation
in and
around the Towns of Binghamton, Conklin and Kirkwood.
b.
To promote good sportsmanship and cooperation within the
community and school district.
c. To participate in local,
county, state, national and international soccer development.
Article 2 Membership
Section 1.
Membership in the
association shall be extended to all interested individuals.
Members will be bound by the proper and lawful actions of the Board of Directors.
This agreement constitutes a contract in order that the purpose of the association
may be accomplished.
All adult members of the association including
coaches, board members, managers, ect. must complete a Risk
Management
form provided by NYSWYSA. Without completion
of form and the approved card being received, said member may not participate
in SRUSA activities directly involving the children.
Every effort will be made
to allow any interested player to participate in the SRUSA
program. However, if there are to many players for a particular
age
group
to roster, and no qualified coaches can be recruited, the coach of that age
group has the final decision as to who will be included on his/her roster.
Evidence
of membership will be by player pass or being included
on a certified team roster. Requirements for same will be:
proof
of age, a medical release
form signed by parent or guardian, and payment of the required club registration
fee
as set by the board of directors annually.
In case of financial hardship,
a coach or manager may present a player anonymously to
the board of directors and request financial support for
said player.
If the board approves the request the coach/manager and treasurer shall
be the
only
persons who know the identity of the individual. The board may withdraw
this support at any time, if the players financial situation should improve.
Article 3 Meetings
Section 1. Meetings
Meetings
will be held monthly on the 2nd Thursday of each month, or
as determined by the majority of the board members. Additional
meetings may be called with
adequate notice to active board members. Meetings are open to all members of
the association. If matters need to be discussed in a confidential setting,
board members may hold an executive session. A quorum must
be present or proxies provided
to vote on disbursement of club monies. Notification will be made to the entire
club membership of the June meeting, at which time elections for the following
year will be held. If there is only one candidate for a position, the secretary
will cast one vote for that candidate. Public notification of the officers
will be made via the local newspaper, the Country Courier.
Article 4 Board of Directors
Section
1. Number
The number of directors shall be 9 (nine).
They shall consist of President, Vice-President, Secretary,
Treasurer, Registrar, Field Coordinator, Equipment Coordinator,
and
Publicity Coordinator. They shall be elected by members at the annual meeting.
Section
2. Term
The term of office for each position shall be two years.
At the expiration of any term, any director may be re-elected.
Section
3. Vacancies
When a vacancy occurs, it shall be filled by a majority
vote of the members of the board at the next regular meeting.
That person shall hold office until
the
next annual meeting of the board.
Section 4. Nominating Committee
There shall be a nominating committee consisting of three
members appointed by the board of directors, on of whom
shall be the chairman. Nominations
may also
be made by any member to the chairman of the nominating committee. Nominations
shall be presented at the May meeting, to be voted upon at the June meeting.
Nominations and notice of the annual meeting shall be published in the
Country Courier two weeks prior to the meeting.
Article 5 Finances
Section 1.
SRUSA is a not for profit corporation, and therefore has tax exempt status.
All vendors that provide products or services to the club must be provided
with the
tax exempt number.
Section 2.
A checking account and a savings account have been established.
The treasurer and assistant treasurer each has the power
to sign club checks. No individual
other than the members of the board of directors, with board approval, have
the authority to use the SRUSA name or tax exempt number.
An exemption may be made
with board approval for a group that includes SRUSA members that has funds
being used to promote soccer development. SRUSA would
not include such funds in their
accounts or be responsible for handling such funds.
Section 3.
Upon dissolution of the association, the assets shall be
distributed exclusively to charitable or educational
organizations which also have non for profit
status.
Section 4.
With board approval, donations may be made to local schools, clubs and organizations
which have a common goal of advancement of soccer, or other activities beneficial
to the youth of the community.
Section 5.
Scholarships are granted each year to graduating senior
girls and boys of the Susquehanna Valley High School
who are going on to further their academic careers.
Recipients will have demonstrated good sportsmanship, leadership, and participated
in soccer programs in the school and community. Recipients will not be the
same students who receive the Saber Soccer Boosters Club
scholarships or the SV Booster
Club scholarships. The number of scholarships and the dollar value of each
will vary based upon the number of deserving candidates
and the funds available. An
application will be made available to the interested individuals at the guidance
office of the SV high school.
Article 6 Adjudication Committee
Section 1.
An adjudication committee shall consist of the president of the board of directors
and at least one other person selected by the board. This committee shall be
responsible for considering and ruling upon:
- a. Allegations of assaults and
abuses on referees and assistant referees.
- b. Decisions of any individual,
committee, or group having responsibility for administering
an activity sponsored by SRUSA, and to conduct review
of any SRUSA
disciplinary action for which review is sought, and shall exercise
that jurisdiction in conformity with the rules promulgated
by
the United States Soccer Federation
and the United States Youth Soccer Association.
A decision of the adjudication
committee is the final decision of the SRUSA board of directors
and may be appealed only to US soccer.
Article 7 Amendments
Section 1.
These by-laws may be amended or repealed in whole or part, by the majority vote
of the membership present and voting at any duly organized meeting of the membership.
